These Terms of Service ("Terms") are an agreement between you and Vyrgent Inc. ("Vyrgent", "we", "us") for the Vyrgent Command software, Vyrgent Phone, the website vyrgent.com and related services (together, the "Service"). By installing, subscribing to or using the Service you agree to these Terms. If you use it for a business, you confirm you can bind that business.
1. The Service
Vyrgent provides software that runs AI assistants for tasks such as answering phone calls, sending texts and email, managing a customer list, and preparing documents. Features may change over time. Some features rely on outside services (for example Twilio, AI model providers, Dropbox and email providers) that you connect under your own accounts and their terms.
2. Accounts and subscriptions
- You must give accurate information and keep your login, API keys and devices secure. You are responsible for activity under your account.
- Paid plans renew each billing period until cancelled. You can cancel at any time and the plan stays active until the end of the period you paid for. Fees already paid are not refunded unless the law requires it.
- Phone usage (numbers, minutes, recordings, texts) and the fees of outside services are billed at the rates shown at the time. Taxes are extra.
- Trials may be limited in time or features.
3. Your responsibilities
You agree to use the Service lawfully. In particular you are responsible for:
- Consent and notices: getting any consent needed to call, text, email or record people, including call-recording consent and telling people when they are speaking with an AI.
- Text messaging rules: following the Telephone Consumer Protection Act, carrier and CTIA rules, and similar laws; only texting people who agreed or have a relationship with you; honoring STOP requests.
- Do-not-call and marketing laws that apply to your calls, texts and emails.
- Your content and contacts: having the right to upload and process the information you put in the Service.
- Professional work: reviewing everything the Service produces before you rely on it or send it to others.
4. Acceptable use
You may not use the Service to break the law, harass or defraud anyone, send spam, impersonate a person or organization, spread malware, infringe others' rights, probe or disrupt our systems, resell the Service without our written agreement, or copy or reverse engineer the software except where the law allows. We may suspend or lock an installation that violates these Terms.
5. AI output and professional use
AI can make mistakes. The Service does not provide legal, financial, tax, medical or other professional advice, and document preparation features are not a substitute for a licensed professional. Documents and messages prepared by the Service should be reviewed by you, and by an attorney where the matter is legal, before use or filing. You are responsible for what you send, sign or file.
6. Your data
You keep ownership of your content and business data. You give us only the rights needed to run the Service for you. How information is handled is described in our Privacy Policy.
7. Our property
The software, name, logos and documentation belong to Vyrgent Inc. and its licensors. We grant you a limited, non-exclusive, non-transferable license to use the software for your own business during your subscription. Plugins and skills you create remain yours.
8. Third-party services
Outside services are provided by their owners under their own terms, and we are not responsible for their availability, accuracy or charges. Limits set by those services (for example Twilio's concurrent-call limits) can affect how the Service performs.
9. Availability and support
We work to keep the Service reliable but do not promise uninterrupted or error-free operation. Phone and internet services, and the outside services above, can fail; you should not rely on the Service as your only way to reach emergency services or handle time-critical matters.
10. Disclaimer
The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, including merchantability, fitness for a particular purpose and non-infringement.
11. Limit of liability
To the fullest extent the law allows, Vyrgent will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business, and our total liability for any claim is limited to the amount you paid us in the 12 months before the claim. Some places do not allow these limits, so they may not fully apply to you.
12. Indemnity
You agree to defend and hold Vyrgent harmless from claims, losses and costs arising from your content, your calls, texts and recordings, or your violation of these Terms or the law.
13. Ending
You may stop using the Service at any time. We may suspend or end access if you breach these Terms, do not pay, or if needed to protect the Service or others. Sections that by their nature should continue (ownership, disclaimers, liability, indemnity and disputes) survive.
14. Changes
We may update these Terms. We will post the new version here and tell customers of material changes. Continuing to use the Service after a change means you accept it.
15. Disputes and governing law
These Terms are governed by the laws of the state where Vyrgent Inc. is organized, without regard to conflict-of-law rules. Please contact us first at hello@vyrgent.com so we can try to resolve any issue informally. Any dispute that cannot be settled this way will be decided in the state or federal courts located in that state, and you consent to their jurisdiction.
